SLTC Members’ Club EGM 2026
South London Theatre Centre Members' Club (Bar) EGM 2026
Notice is hereby given that the Extraordinary General Meeting (AGM) of the South London Theatre Centre Members' Club will be held at 7pm on Sunday 26th April 2026, for the following purposes:
- To put forward 2 resolutions
- 1. Dissolve the SLTC Members’ Club and incorporate all its assets under SLTC. SLTC will then run the bar, via the Bar Committee, as part of its operations.
- 2. Revise the Members’ Club rules to reflect these governance changes, but maintain the same principles how your bar is run, for the membership.
The EGM will be held in the South London Theatre Members Club Bar, SLT Fire Station, 2a Norwood High Street, London, SE27 9NS
If you are unable to attend but wish to vote, please complete a proxy form and send to the Chair. (Details at the bottom of the page.)
By order of the Bar Committee
Fiona Daffern, Secretary
Eligibility: Only Ordinary and Honorary Members are entitled to attend and vote. (i.e. those with active SLT Membership subscriptions. Those with Supporter subscriptions are not included.) A membership check may occur.
What are the main issues that have led to this proposal?
Who are the Trustees?
The Member’s Club Rules state there shall be 3 Trustees. These are appointed for an indefinite period and do not have to be current members of BarCom (para 15).
It is not wholly clear who the current Trustees are. They are certainly not active as Trustees, which is concerning given they hold all property, land and investments for the Members’ Club in their own names (para 16 of the MC Rules).
What are the main issues that have led to this proposal?
Liability
All current members of SLTC are members of the Members’ Club and hold unlimited liability for all lawfully incurred costs by the Trustees, Officers and members of the committee on your behalf (para 20 of the MC rules).
For comparison only, SLTC Articles state the limitation of SLTC members is £1 ‘limited liability’.
What are the main issues that have led to this proposal?
Insurance
In September 2025, Ecclesiastical, who had previously insured the bar under SLT/ BPT refused to continue insuring the bar in this manner as we are not legally incorporated under SLTC. This requires the bar to take out separate insurance costing c £800 per annum.
What are the proposed changes to the Rules?
Assuming incorporation is agreed (resolution 1), the Members’ Club Rules in their current format will no longer exist as the Members’ Club will be covered by SLTC Memorandum and Articles of Association and Bye Laws. Moreover the SLTC code of conduct applies on the bar premises already. (All governance documents available below for reference) To ensure consistency with current day-to-day practice however, we propose to update the Rules. The proposed changes can also be accessed below.
Can't make it?
