South London Theatre Centre Ltd AGM

Notice is hereby given that the 56th Annual General Meeting (AGM) of the South London Theatre Centre Ltd will be held at 6pm on Sunday 11th June 2023, followed by the Member’s Club 49th AGM, for the following purposes:

- Approve the minutes of the 55th AGM
- To receive the report of the Theatre representatives for the current season
- To receive the report of the Directors and accept the accounts for the year ended 31 December 2022, along with the report of the auditors
- To elect members of General Council (see below)
- To appoint the auditors
- To consider and, if thought fit, pass any resolutions (see below)

The AGM will be held at South London Theatre, SLT Fire Station, 2a Norwood High Street, London, SE27 9NS

If you are unable to attend, please complete a proxy form and send to the General Secretary. In the event of competition for a role videos and transcripts of speeches of nominations will be online and/or posted from 27th May. See further information below on elections and proxies.

If more than one person is nominated for a role - or, for the roles of Theatre Director, if there are more than three nominations for the positions - there will be a vote during the meeting of all members to decide who will take on the roles.

Proxies

A member entitled to vote may appoint a proxy to attend and vote in his/her place. The proxy must be a full member.

Completed proxy forms must be submitted at least 48 hours before the commencement of the AGM. Please complete the online form below by by 5pm, Friday 9th June 2023. Resolutions

There are three resolutions to consider in the meeting:
1. Section A - Membership and Supporters

Resolution: To change the name of 'Friend of SLT' to 'SLT Supporter'.

The change is being mooted to more accurately describe this category and to avoid the confusion that sometimes arises by the use of the word 'friend'. Frequently guests are friends of an SLT member but not a paid up friend of SLT.

2. Section A - Subscriptions

Resolution: To raise the age of senior concession from 60+ to 65+ years.

The proposal is being made to bring eligibility for this concession closer in line with UK state pension age. If the change is approved, it would apply to SLT members not yet in receipt of this age related concession who would now need to wait until they are 65 years old. It would not apply retrospectively so any SLT Member already in receipt of 60 + concession but not yet 65 years of age would retain this concession. The impact of the change to SLT is a slight increase in income as more members will pay full membership rates for longer.

3. With reference to Article 30 of Articles of Association (updated at Extraordinary General Meeting on 3rd Feb 2020)

To change the quorum for General Council meetings from half its voting membership to half of its voting membership or not less than five, whichever is the higher figure.

The proposal is being made to clarify the situation when there are vacancies on GC to ensure any key decisions are voted on by at least 5 appointed GC Members.

Notice is hereby given that the 49th Annual General Meeting of the SLTC Members' Club will be held on Sunday, 11th June 2023 following the completion of the SLTC Ltd Annual General meeting starting at 6pm, for the following purposes:

- To approve the minutes of the 48th AGM
- To receive the report of the Bar Committee
- To receive the accounts for the year ended 31 December 2022
- To elect members to Bar Committee (see below)
- To consider and, if thought fit, pass any resolutions (see below)

The AGM will be held in person.
